TERMS OF SERVICE
1. ACCEPTANCE OF TERMS
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and Cinascend (“Cinascend,” “we,” “us,” “our”) governing your access to and use of our website, learning platform, digital courses, memberships, certifications, live sessions, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
2. MODIFICATIONS TO TERMS
We reserve the right to modify these Terms at any time. Where material changes are made, we will provide reasonable notice via email or website notification. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
3. ELIGIBILITY AND ACCOUNT REGISTRATION
You must be at least 18 years old, or the age of majority in your jurisdiction. You agree to provide accurate registration information and to maintain the security of your account credentials. You are fully responsible for all activity under your account. Account sharing is strictly prohibited.
4. LICENSE TO USE THE SERVICES
Subject to compliance with these Terms and payment of applicable fees, Cinascend grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for personal, non-commercial purposes only. No ownership rights are transferred to you.
5. COURSE ACCESS AND AVAILABILITY
Access periods, where applicable, are specified at checkout. We reserve the right to update, modify, or discontinue courses. Where discontinuation materially affects prepaid access, we will provide reasonable alternatives or remedies.
6. FEES, PAYMENTS AND TAXES
All fees are payable in advance unless otherwise agreed. You authorise us to charge your selected payment method. Prices may be subject to VAT, sales tax, or other local taxes. Failure to pay may result in suspension or termination of access and recovery action where permitted by law.
7. INSTALMENT PAYMENT TERMS
If you elect to pay in instalments, you remain liable for the full course fee. Suspension of access for non-payment does not cancel your payment obligation. We may engage third-party recovery services where legally permitted.
8. SUBSCRIPTIONS AND AUTO-RENEWAL
Subscriptions renew automatically at the end of each billing cycle unless cancelled before renewal. You may cancel at any time through your account settings. Refunds are not provided for partial billing periods unless required by applicable consumer law.
9. CONSUMER CANCELLATION RIGHTS (UK/EU)
If you are a UK or EU consumer purchasing online, you have a statutory 14-day cooling-off period. If you request immediate access to digital content, you acknowledge that your right to cancel may be waived once delivery begins.
10. INTELLECTUAL PROPERTY RIGHTS
All content, including videos, text, graphics, course materials, software, and trademarks, is owned by Cinascend or licensed to us and protected by international intellectual property laws. You may not copy, distribute, reproduce, scrape, reverse engineer, create derivative works, or use content for AI training purposes without express written consent.
11. USER CONDUCT
You agree not to: (a) infringe intellectual property rights; (b) share login credentials; (c) upload malicious code; (d) engage in unlawful activity; (e) use automated tools or scraping; (f) submit plagiarised or AI-generated coursework where prohibited.
12. ACADEMIC INTEGRITY AND AI USE
Use of AI tools to generate assignments without express permission constitutes academic misconduct. We reserve the right to reject submissions and revoke certificates where integrity standards are breached.
13. THIRD-PARTY SERVICES
The Services may integrate third-party tools or platforms. We are not responsible for the content, availability, or policies of third-party services. Your use of such services is governed by their terms.
14. DATA PROTECTION AND PRIVACY
We process personal data in accordance with UK GDPR, EU GDPR, and applicable US privacy laws. Please review our Privacy Policy for details regarding collection, use, storage, and international transfers.
15. DISCLAIMER OF WARRANTIES
The Services are provided on an 'as is' and 'as available' basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
16. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Cinascend shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total aggregate liability shall not exceed the amount paid by you in the six (6) months preceding the claim.
17. INDEMNIFICATION
You agree to indemnify and hold harmless Cinascend from any claims, damages, liabilities, and expenses arising out of your misuse of the Services or violation of these Terms.
18. DISPUTE RESOLUTION AND ARBITRATION (US CUSTOMERS)
For US customers, disputes shall be resolved through binding arbitration on an individual basis. You waive any right to participate in class or collective actions. Arbitration shall be conducted under the Federal Arbitration Act and applicable arbitration rules.
19. GOVERNING LAW
For UK/EU customers, these Terms are governed by the laws of England and Wales. For US customers, governed by the laws of the State of Delaware unless otherwise required. For other international customers, governed by the laws of our principal place of business.
20. FORCE MAJEURE
We are not liable for delays or failure resulting from events beyond our reasonable control, including natural disasters, internet outages, government actions, or supplier failures.
21. MISCELLANEOUS
If any provision is found unenforceable, remaining provisions remain in effect. Failure to enforce any right shall not constitute waiver. These Terms constitute the entire agreement.
